Temporary Corporate Counsel

Providing legal support for SEC disclosures, the temporary part-time Corporate and Securities Counsel will advise senior executives on corporate and securities matters while working remotely. Key responsibilities Draft and counsel on SEC, NYSE, and other securities filings, including periodic reports and proxy statements Assist with corporate compliance regarding securities laws and NYSE regulations, and oversee the insider trading compliance program Support the Audit Committee by preparing meeting materials and providing legal advice on governance and financial transactions Required qualifications Juris Doctor and U.S. state bar admission Minimum of 4+ years of legal experience with a law firm and/or as in-house counsel Experience in corporate drafting, including resolutions and governance documents Knowledge of corporate, business, and financial transactions, as well as securities laws Demonstrated abilities in complex financings or regulatory experience related to investment advisers or insurance companies
