Completed A Full Website + Branding Job For A Small Business In Austin, They Dissolved Their Llc Before Paying The Last Invoice, Reopened Under A New Name 3 Weeks Later.
I do freelance design and web work on the side and took on a project for a local med spa back in September. Full rebrand, new site, social assets, the whole thing. We had a written contract, I sent invoices, they paid the first two no problem.
Last invoice was $3,400. Crickets. I follow up for like 6 weeks, get excuse after excuse and then I look them up and the LLC is literally dissolved as of late October. I'm thinking okay they just shut down, whatever, I'll eat it.
Except two weeks ago I drove past the same location and they are open again. Different name, different LLC but literally the same owner, same staff, same interior. I pulled over and looked them up on my phone right there and checked the Texas SOS website and the new LLC was registered November 8th. So like two weeks after dissolving the old one.
I have the original contract under the old LLC name, all the email threads, and the invoices. Its the principle at this point and $3,400 is not nothing to me.
Is there any argument that the new LLC has any obligation here or did he basically just legally wipe the slate? Would small claims even be worth it or do I need an actual attorney for something like this
