Forming Llc For Online Business - Multi-state Compliance Questions

Card image cap

Location: Texas. I am looking into acquiring an established e-commerce business's assets. This business primarily operates online selling software subscriptions, but also has some inventory (physical merchandise for branding purposes).

I need to form an LLC to complete this asset purchase. I plan to operate this business myself and maintain 100% ownership IN the business. I will keep it for multiple years.

How do I do this? Is there an optimal state to form an LLC in? I see a lot of recommendations for Delaware and Nevada, but I'm not entirely sure what makes them better choices for online/digital businesses.

In addition, if I decide to relocate from one state to another personally (I move frequently for work), how complicated would such a process be to maintain the LLC registration?

Another question: If I form an LLC in one state, will I need to register as a "foreign entity" in EVERY state where I have customers? The business sells digital subscriptions nationwide, so potentially all 50 states could be involved.

Also, does it matter where my payment processor (Stripe) is based versus where the LLC is registered? Are there any compliance issues I should be aware of?

This is my first time purchasing a business so any guidance would be greatly appreciated!
