Massachusetts Tutoring Company Is Threatening A Defamation Claim Over My Factual Review After Cancelling Half The Sessions And Refusing The Promised Refund

I enrolled in an eight-session test-preparation course in June. The company cancelled four sessions, sometimes less than two hours beforehand, and never offered replacement dates. Their written policy says students receive a proportional refund when the company cancels and cannot reschedule.
After three unanswered refund requests, I posted a review. It said exactly how many sessions occurred, listed the cancellation dates, and stated that I had not received the promised refund. I did not call them scammers or speculate about why they cancelled.
Yesterday I recieved a letter from the owner demanding removal within 48 hours. It says my review is defamatory because the cancelled classes were caused by “circumstances beyond company control” and because my refund is supposedly still being processed. The letter threatens a claim for lost business but does not identify any false sentence.
I have the agreement, cancellation emails, refund requests, and a copy of the review. The refund still hasnt arrived. Does documenting true events and quoting their own policy generally protect me, or can the delay in processing make my statement legally false? Should I answer the letter or simply preserve everything unless actual court papers arrive?
