Resigning From A Ny Non-profit Board

Card image cap

Location: New York

Hi! Thank you in advance for any help.

I recently resigned from a nonprofit board in New York state via email, stating my resignation was effective immediately. The executive director attempted to make my resignation conditional on performing certain tasks before he would accept it, and was hostile throughout the process. I resigned primarily due to his rude and condescending communication style and lack of transparency around financial matters.

Was my resignation legally effective upon notice? He claimed it required his acceptance. After I resigned he circulated board minutes formally accepting my resignation, which I never signed, that also assigned my creative work on a museum exhibit I was working on to himself. Does that document have any bearing on me? I thought that as soon as I resigned by email I was not involved with the organization any more.

Fwiw, the nonprofit has no bylaws.

Separately, before joining the board I independently began research and design work for that museum exhibit. I continued that work after joining and handed off the materials as a goodwill gesture upon resignation. Do I retain rights to use that research and writing in future publications?

Happy to provide more details if helpful. Thank you!
