Wedding Florist Llc Has Been Administratively Dissolved

Have a wedding coming up in just under 2 months and had a bad gut feeling about one of our vendors.

We’ve have a semi long engagement, so we booked her over a year ago, and she was super responsive at first. Since our initial deposit of about 1.5k I haven’t heard from her because it’s been a long engagement so not much to discuss lol until recently.

In Feb I reached out about adding a few things, she was responsive and said she would put together a quote for me that weekend. A few weeks go by and I realized I never heard back from her, so I check in probably 3 times over the next 2 weeks and finally get a response of her saying she’s out of the country and is still trying to figure out how to quote me. Ok whatever.

Another couple of weeks go by and still no quote, but I reach out to her about some planters I wanted to buy for her to use to display our arrangements. She responded once and then didn’t reply to me. Another 2 weeks goes by, so finally yesterday evening I texted her saying hope all is still ok for the wedding and I’d like to schedule a call to review final details before our last payment is due in a few weeks. She read it but no response.

Today, I had an extra bad feeling. Went to the Secretary of State website to see her LLC was administratively dissolved in September of LAST YEAR. So it’s been over 6 months of her operating when she’s not even actively licensed.

What gave me major pause recently is that I noticed she stopped posting on her business Instagram around October of last year.

What do I do? We already paid 1.5k deposit that was “non refundable” per her contract but she also violated her licensing clause:

“The Business promises that it holds all licenses necessary to perform the work, that such

licenses are valid and effective as of the date any work is performed or services provided, and

that all work performed or services provided will be done in compliance with all applicable

federal, state, or local laws and regulations.”

How do I even go about getting out of this?! Please help!! SOS, a stressed out bride
