I Am In The Process Of Buying A Company And Having Issues With The Seller. Wa, Usa

I am in the process of purchasing a company from a well know business in my field and area. The purchasing is over a two year period with me gaining full ownership in 2027. My husband and I paid 14k on Jan 1 2026 with other 14k due Jan 1 2027 in which all licensing, insurance, domain ect. Would be moved to my name. In the mean time, it appears I had a different understanding about how I would be paid for the events I work from the contract I signed than the seller does.

Here is what I signed:

2026 New Event Revenue Sharing Agreement (1/1/2026 - 12/31/2026)
▪ 60 / 40 split (Buyer 60%, Seller 40%) on event revenue Buyer brings into the business and plans/manages/works the event.
Buyer keeps any gratuity.
● Seller payments to Buyer within ten (10) business days of receiving signed event contract down payment and event final payment received.
▪ Seller retains 100% of event revenue for any business they bring into the Company (as well as existing business already on the books for 2026). Seller to keep any gratuity.

If Buyer assists Seller or any other Planner the Buyer will receive $35.00 dollars per hour for hours worked during an event.

Expenses - Pre-approval by Seller required for any expense that Buyer thinks should be reimbursed by Company (receipts required).

The seller is saying I did not "bring in" the business because they went through our inquiry form and it does not specify. However, I did the discovery call, negotiated the client contract, planned, and managed the event. At no time did the seller have contact with the client in question.

It feels clear that I did not assist with this event, I ran it from start to finish. As there are no other provision, I think I should get 60%. It may be worth noting that since March I have been doing all of the social media, seo management, and managing the website.

How should I get paid?
